Terms of Service

These Terms of Service (“Terms”) govern access to and use of the 360AIFS website, subscription services, licensing services, and 360AIFS Professional Financial Reporting software provided by 360 Solutions, Inc. (“360 Solutions,” “we,” “us,” or “our”).
By purchasing a subscription, accessing the website, activating 360AIFS, or using the software or related services, you agree to these Terms. Use of the 360AIFS desktop software is also subject to the applicable End User License Agreement (“EULA”).
1. 360AIFS Service
360AIFS Professional Financial Reporting is financial reporting software designed to assist businesses and accounting professionals with preparing financial statement packages from customer-provided accounting information.
Features may include chart-of-accounts mapping, trial-balance processing, validation controls, report preview, and financial statement generation in Excel and PDF formats.
Features may change, improve, or be updated over time.
2. Professional Judgment and Customer Responsibility
360AIFS is a financial reporting tool and does not replace professional accounting, auditing, tax, legal, investment, or other professional advice.
Customers are responsible for:
The accuracy and completeness of information entered into or supplied to 360AIFS
Reviewing account classifications and mappings
Reviewing generated financial statements and supporting reports
Determining whether reports are appropriate for their intended purpose
Obtaining professional advice when appropriate
Maintaining appropriate backups of accounting data and generated reports
Customers should review all financial statements before distributing, filing, presenting, or otherwise relying upon them.
3. Subscription Plans
360AIFS is initially offered through monthly subscription plans.
Current subscription levels may include:
Starter — up to 5 companies
Professional — up to 25 companies
Business — unlimited companies
Plan features, pricing, and company limits are displayed on the 360AIFS website or applicable checkout page.
360 Solutions may introduce, discontinue, or modify subscription plans in the future. Changes affecting an existing paid subscription will be handled in accordance with applicable law and the terms communicated to the customer.
4. Billing and Payments
Subscriptions are billed on a recurring monthly basis unless otherwise stated at checkout.
Payment processing may be provided by third-party processors such as Stripe.
By purchasing a subscription, you authorize the applicable payment processor to charge the payment method provided for recurring subscription fees and applicable taxes until the subscription is canceled.
Customers are responsible for maintaining valid and current billing information.
5. Cancellation and Refunds
Customers may cancel their subscription in accordance with the 360AIFS Cancellation / Refund Policy posted on the 360AIFS website.
Refund eligibility and the effective date of cancellation are governed by that policy and applicable law.
The Cancellation / Refund Policy is incorporated into these Terms by reference.
6. Software Licensing and Activation
A valid subscription and license activation may be required to use 360AIFS.
License activation may verify information such as:
Subscription status
Customer email
License identifier
Subscription plan
Authorized company limits
Customers may not bypass, disable, interfere with, or attempt to defeat licensing or subscription controls.
Use of the desktop software is additionally governed by the 360AIFS EULA presented during installation or use.
7. Company Limits
Customers must comply with the company limit associated with their subscription plan.
Attempts to circumvent company limits, licensing controls, or other plan restrictions are prohibited.
Inactive or previously created company records may be retained for licensing, subscription-control, security, auditing, or administrative purposes as described by the software and EULA.
8. Customer Data
Customers retain responsibility for and control over accounting data they use with 360AIFS.
360AIFS is designed primarily as a desktop application, and customer accounting files are generally processed locally in the customer's environment.
Customers are responsible for maintaining backups and appropriately safeguarding their own financial and accounting information.
Information voluntarily provided to 360 Solutions for technical support may be used to investigate and resolve the applicable support request.
Our handling of personal information is further described in the 360AIFS Privacy Policy.
9. Support
Support may be provided according to the customer's subscription plan and available support channels.

Support does not constitute accounting, auditing, tax, legal, or other professional advice.
10. Demo or Trial Access
If 360 Solutions provides demonstration, evaluation, trial, beta, or other no-charge access, that access is provided “AS IS” and “AS AVAILABLE.”
Demo or trial access may contain limitations, may be changed or discontinued at any time, and may receive limited support.
Demo or trial results should not be relied upon for production financial reporting unless expressly authorized by 360 Solutions.
11. Acceptable Use
Customers may not:
Copy, modify, reverse engineer, decompile, or attempt to derive the source code of 360AIFS except where applicable law expressly permits it
Resell, sublicense, rent, lease, or redistribute the software without written authorization
Circumvent subscription, licensing, or company-limit controls
Use 360AIFS for unlawful, fraudulent, or deceptive activities
Introduce malicious software or attempt unauthorized access to 360 Solutions systems
Use the service in a manner that interferes with its operation or security
12. Intellectual Property
360AIFS, its software, interfaces, documentation, branding, trademarks, report-generation technology, and related materials are owned by or licensed to 360 Solutions, Inc. and are protected by applicable intellectual-property laws.
Except for the limited rights expressly granted under the applicable subscription and EULA, no ownership interest is transferred to the customer.
Customers retain ownership of their own accounting data and business information.
13. Third-Party Services
360AIFS may rely upon or interact with third-party services, including payment processors, hosting providers, operating-system components, spreadsheet software, or other technology providers.
360 Solutions is not responsible for interruptions, changes, or failures caused solely by third-party services outside our reasonable control.
Third-party services may be governed by their own terms and privacy policies.
14. Availability and Updates
We seek to maintain reliable services but do not guarantee uninterrupted or error-free operation.
Software updates may be provided to correct errors, improve security, add functionality, or maintain compatibility.
Customers may be required to install updates in order to continue receiving support or accessing certain functionality.
15. Disclaimer of Warranties
To the maximum extent permitted by applicable law, 360AIFS and related services are provided “AS IS” and “AS AVAILABLE.”
360 Solutions disclaims warranties not expressly provided in writing, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the extent permitted by law.
360 Solutions does not warrant that financial reports will satisfy every accounting, regulatory, audit, lending, tax, contractual, or reporting requirement applicable to every customer.
16. Limitation of Liability
To the maximum extent permitted by applicable law, 360 Solutions, Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, loss of data, or losses resulting from reliance on financial reports.
Any additional limitations, exclusions, liability caps, or remedies applicable to use of the 360AIFS software are governed by the applicable EULA.
Nothing in these Terms excludes liability that cannot legally be excluded.
17. Indemnification
To the extent permitted by applicable law, customers agree to defend, indemnify, and hold harmless 360 Solutions, Inc. from third-party claims arising from the customer's unlawful use of 360AIFS, violation of these Terms, misuse of generated reports, or infringement of another party's rights.
18. Export Controls and Trade Compliance
Customers may not use, export, re-export, transfer, or provide access to 360AIFS in violation of applicable United States export-control, sanctions, or trade laws.
Customers represent that they are not prohibited from receiving the software or services under applicable U.S. sanctions or export-control restrictions.
19. Suspension or Termination
360 Solutions may suspend or terminate access when reasonably necessary because of:
Nonpayment
Expiration or cancellation of a subscription
Fraud or suspected unauthorized activity
Material violation of these Terms or the EULA
Attempts to bypass licensing controls
Security threats
Legal or regulatory requirements
Termination of a subscription does not eliminate obligations that accrued before termination.
20. Data Following Cancellation
Cancellation of a 360AIFS subscription may end access to licensed functionality.
Because customer accounting data and generated reports are generally stored locally in the customer's environment, customers are responsible for retaining copies of information they wish to preserve.
Information maintained by 360 Solutions for licensing, billing, legal, security, or support purposes may be retained as reasonably necessary and as described in our Privacy Policy.
21. Changes to These Terms
We may update these Terms periodically to reflect product, legal, regulatory, or business changes.
The updated Terms will be posted with a revised effective date.
Material changes will be handled as required by applicable law.
22. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
To the extent permitted by law, disputes arising from these Terms or the services shall be brought in an appropriate state or federal court having jurisdiction in or over Kent County, Delaware, unless another dispute-resolution procedure is required by the EULA or applicable law.
23. Entire Agreement
These Terms, together with the applicable EULA, Privacy Policy, Cancellation / Refund Policy, subscription terms, and any other written agreement between the customer and 360 Solutions, constitute the applicable agreement governing use of 360AIFS and related services.
If these website Terms conflict with the EULA regarding use of the installed software, the EULA controls with respect to software licensing and use.
